O grande número de impactos causados ao meio ambiente tornou necessário que ações fossem tomadas pelo Poder Público na tentativa de coibir as diversas formas de poluição, proteger os bens comuns do povo e responsabilizar os causadores. Mesmo após inúmeras conferências globais que propuseram soluções capazes de mitigar os efeitos devastadores ocasionados pela exploração desenfreada e predatória dos recursos naturais, o Brasil vem sendo alastrado por sucessivos desastres ambientais. Um exemplo são os desastres decorrentes dos rompimentos de barragens no Estado de Minas Gerais, que vêm alertando a população brasileira sobre a necessidade de exigir-se do Poder Público condutas proativas frente à investigação dos verdadeiros culpados. Ainda que a legislação preveja punição para todos os responsáveis, podendo ser pessoas físicas ou jurídicas, públicas ou privadas, a prática demonstra que a apuração da responsabilização em empresas de capital aberto, sob o regime jurídico de sociedade anônima, é demasiadamente complexa. Nesse sentido, o presente trabalho se propõe a analisar a atribuição de responsabilização dos administradores da Vale S.A., sob a perspectiva empresarial, pelo rompimento da barragem no Município de Brumadinho-MG, ocorrido em janeiro de 2019. Para alcançar este objetivo a metodologia contempla uma revisão teórica, de cunho exploratório-descritivo, utilizando-se uma abordagem qualitativa. Os dados foram coletados a partir de pesquisas bibliográficas e documentais. Apurou-se como são estruturadas as sociedades anônimas na atualidade, como seus órgãos de administração e conselhos atuam na prática e quais os deveres dos administradores frente à companhia. A Lei Societária enumera uma série de deveres e responsabilidades aos quais são incumbidos os administradores das sociedades anônimas, quais sejam, o dever fiduciário de diligência, o dever de lealdade e o dever de informação. O levantamento dos deveres forneceu subsídios para a análise da estrutura societária da Vale S.A., das atribuições do Conselho de Administração e da Diretoria Executiva. Nos resultados, apresenta-se como a responsabilização pela inobservância de tais deveres é realizada pela Comissão de Valores Mobiliários – CVM e o atual andamento das apurações.
The large number of impacts caused to the environment made it necessary for actions to be taken by the Government in an attempt to curb the various forms of pollution, protect the common goods of the people and hold those responsible to account. Even after numerous global conferences that proposed solutions capable of mitigating the devastating effects caused by the unbridled and predatory exploitation of natural resources, Brazil has been plagued by successive environmental disasters. An example is the disasters resulting from the rupture of dams in the State of Minas Gerais, which have been alerting the Brazilian population about the need to demand proactive behavior from the public authorities in the face of the investigation of the real culprits. Although the legislation provides for punishment for all those responsible, whether individuals or legal entities, public or private, practice shows that the determination of liability in publicly traded companies, under the legal regime of a corporation, is too complex. In this sense, the present work proposes to analyze the attribution of liability of the officers of Vale SA, from a business perspective, for the rupture of the dam in the Municipality of Brumadinho-MG, which occurred in January 2019. To achieve this goal, the methodology includes a theoretical review, of an exploratory-descriptive nature, using a qualitative approach. Data was collected from bibliographic and documentary research. It was investigated how corporations are currently structured, how their management bodies and councils act in practice and what are the duties of officers before the company. The Corporate Law lists a series of duties and responsibilities to which the officers of corporations are responsible for, namely, the fiduciary duty of diligence, the duty of loyalty and the duty of information. The analysis of the duties has provided subsidies for the analysis of the corporate structure of Vale S.A., the attributions of the Board of Directors and the Executive Board. In the results, it is presented how the responsibility for non-compliance with such duties is carried out by the Brazilian Securities and Exchange Commission - CVM and the current progress of the investigations.
